Fluidstack is building civilization-scale compute infrastructure for AI, focused on deploying 10-100s of GWs of compute faster than competitors. The company rethinks every layer of the stack—acquiring power, designing and building data centers, and operating them with teams spanning hardware and software.
The Strategic Finance team is tackling three core problems: (1) raising capital at sovereign scale (hundreds of billions in debt and equity for a capital program rivaling national infrastructure budgets), (2) inventing new financial instruments tailored to AI infrastructure (credit support backed by equity warrants, hyperscaler-guaranteed leases, project finance structures), and (3) closing deals at the speed of the build, not the speed of traditional finance—multiple landmark transactions running simultaneously on timelines most banks would consider impossible.
As Corporate Development Lead, you will own the corporate development pipeline end to end: identifying which situations are worth pursuing, selecting the right instrument for each opportunity, and deciding which to walk away from. You will structure novel deals with no template—joint ventures, minority stakes with governance rights, convertible and warrant-linked instruments, and opportunistic control acquisitions. You will underwrite each opportunity against dual objectives: strategic value (power, land, supply chain, capability) and financial returns, making the call when those diverge. You will test every deal against the critical path of the build, determining what to buy, build, or take a stake in. You will negotiate directly with principals and their counsel on bespoke terms: governance and control rights, exclusivity and offtake commitments, anti-dilution, information and board rights, and exit mechanics. Finally, you will carry each deal into the company, aligning the CEO and legal on commitments, briefing the teams who inherit the deal (power, strategic sourcing, infrastructure), and handing them a clean account at close.
Fluidstack operates with full autonomy (own things end to end, take on scope without being asked), insane urgency (drive everything forward as fast as possible), first-principles reasoning (challenge every assumption, zero analogy thinking), and a focus on building something that actually matters.
REQUIREMENTS:
- Led deals from a principal seat where capital and outcome were yours to own: private equity, growth equity, special situations, infrastructure or energy investing, or corporate development inside a company acquiring its own supply chain.
- Been the name on the deal—the one principals and counsel called directly and the one who answered for it at close or failure.
- Taken deals with no clean comparable from first conversation through close, choosing instrument, governance, and downside protections from the situation up, with models built to answer the question the structure raised rather than justify a decision already made.
- Killed deals that looked good on paper and can walk through the reasoning before money was committed.
- Hold a strategic objective and financial objective in view simultaneously and make the call yourself when they point in different directions.
- Negotiated governance, control, and protective terms across the table from principals and counsel; know which points are worth trading and which end the conversation.
- Write to a decision: your memos have moved a CEO, investment committee, or board from undecided to committed.
- Bonus: experience with power, energy, or digital infrastructure counterparties; joint ventures and corporate partnerships carrying commercial and equity terms; supply chain or vendor investment structures; markets where regulatory or technology picture was still moving during underwriting.
