Shield AI is a venture-backed defense-tech company developing autonomous systems, aircraft, and simulation technologies to protect service members and civilians. The company operates globally with offices across the U.S., Europe, the Middle East, and Asia-Pacific. This Staff Paralegal role is a central legal operations position supporting Shield AI's rapid scaling. You will manage the full spectrum of corporate legal matters across four primary domains: **General Corporate, Governance & Entity Management:** Oversee Shield AI's domestic and international entity portfolio including formations, foreign qualifications, annual reports, franchise taxes, and dissolutions. Maintain audit-ready corporate records, minute books, organizational charts, and the entity management system. Support Board and committee meetings, manage signature authority matrices, and prepare officer and secretary certificates. Respond to KYC, banking, and vendor documentation requests. Support financings, M&A, joint ventures, and strategic transactions including due diligence, data room management, and post-closing integration. Coordinate with security and compliance teams on government contracting and security compliance documentation. **Litigation & Disputes:** Support in-house and outside counsel on litigation, arbitration, pre-litigation disputes, and internal investigations. Issue, track, and release legal holds; coordinate ESI collection and preservation with IT and security. Manage litigation calendars, docketing, and deadline tracking. Coordinate intake and response to subpoenas, service of process, and third-party requests. Assist with discovery and document review. Maintain litigation matter trackers and support reporting on active matters and outside counsel spend. **Employment:** Support employment counsel and People teams on agency charges (EEOC, state agencies), demand letters, and employment disputes. Track separation, release, and settlement agreements. Assist with workplace investigations including document collection and interview logistics. Help maintain employment policies, handbooks, and multi-state compliance obligations. **Stock Administration & Equity:** Support Legal, Finance, and HR on equity plan administration using platforms like Carta. Maintain audit-ready capitalization tables and reconcile equity records with Board approvals. Process stock transfer requests, support secondary sales and tender offers, and coordinate 409A valuations. **Collaboration & Legal Operations:** Work confidently with the Board, executive team, outside counsel, and service providers. Manage multiple concurrent projects under tight timelines. Take ownership of matters from intake to completion. Build scalable legal processes, templates, and trackers. Leverage legal technology and AI-enabled tools to increase speed and accuracy. Handle highly confidential information with discretion. **Requirements:** - 12+ years of legal experience as a corporate paralegal or other legal professional - Substantial in-house experience at a high-growth technology company, venture-backed private company, and/or leading corporate law firm - Broad, hands-on experience across legal issues, preferably including general corporate and entity management, litigation support, employment matters, and stock administration - Proven ability to communicate confidently with internal and external partners and collaborate across the organization - Highly action-oriented with a track record of managing multiple projects and workflows simultaneously and delivering quickly on urgent, shifting priorities - Exceptional attention to detail, organization, and written and verbal communication skills with sound judgment about escalation - Willingness to learn and adopt new technologies **Preferred Qualifications:** - Familiarity with Delaware corporate law and private company governance - Experience supporting equity administration for a private company (cap table maintenance, option and RSU administration, stock transfers) - Experience supporting venture financings, secondary transactions, tender offers, and M&A due diligence and integration - Experience in defense, aerospace, government contracting, or other highly regulated industries - Experience supporting an international subsidiary footprint and working with local counsel across multiple jurisdictions - Experience designing or improving legal operations processes and implementing new legal technology
