TRM Labs is an AI-powered intelligence platform helping public and private sector agencies investigate and disrupt crime. As Senior Manager, Contracts & Compliance, you will build and own TRM's government contracts administration and compliance function within the Legal team. This is a new role establishing processes, systems, and working relationships to keep government contracts compliant and on track from proposal review through award, modifications, renewals, and closeout.
Key responsibilities include:
- Own administration and compliance for TRM's government contracts, with emphasis on US federal contracts. Maintain a central register of obligations, owners, deadlines, and required registrations across each contract's lifecycle.
- Use AI to extract obligations, milestones, and deadlines from contracts into a tracking system, surfacing risks early.
- Lead proposal compliance review: analyze solicitations, build compliance matrices, coordinate representations and certifications, identify mandatory forms, and flag exceptions for counsel.
- Build government-contracts policies, procedures, templates, and records. Establish clear review, approval, tracking, and escalation workflows across Legal, Capture, Sales, Finance, and delivery teams.
- Administer contract modifications, task orders, subcontracts, and flowdowns. Coordinate renewals, option exercises, and closeout with Finance on contractual invoicing and reporting.
- Partner with the CLO and counsel on contract interpretation, procurement requirements, and legal exceptions. Translate guidance into repeatable processes and clear instructions for business teams.
- Build reusable AI workflows for repeatable contract and compliance reviews to scale as public sector contract volume grows.
You will join TRM's Legal team and build this new function from the ground up, partnering closely with the CLO and counsel. The work is high-judgment and cross-functional. TRM operates as a distributed-first, US-based remote team with regular overlap for syncs. Communication is Slack-first and async, with weekly 1:1s, team syncs, and proposal/contract-review rhythms tied to deadlines. Close coordination with Sales, Capture, Finance, and delivery leaders is essential.
TRM is a Series C company with $220M in funding, backed by Goldman Sachs, Bessemer, Y Combinator, and Thoma Bravo. The company operates with a mission-first, fast-paced, service-oriented culture that values practical risk management. AI fluency is a baseline expectation—you will use AI daily to analyze solicitations, manage obligations, and build repeatable reviews.
REQUIREMENTS:
- 5+ years of progressively responsible US government contracts experience, including independently administering federal prime contracts through award, modifications, performance, and closeout.
- Demonstrated experience reviewing solicitations, creating proposal compliance matrices, and coordinating representations, certifications, and mandatory submission requirements.
- Practical knowledge of FAR/DFARS, IDIQs, task and delivery orders, and applicable subcontract flowdowns, with sound judgment about when to involve counsel.
- Track record of building or materially improving contracts processes, templates, or tracking systems and managing obligations and deadlines across multiple contracts.
- Production AI fluency: comfort using AI to analyze solicitations, draft compliance matrices, and manage obligations, with judgment to validate output on regulatory detail.
- Clear communication and strong cross-functional judgment, with a hands-on, service-oriented approach that surfaces risks with practical recommendations.
- Nice to have: experience with state, local, or international government contracts; administering contracts for software, SaaS, or data services; or working with GSA Schedules.
