Anthropic is seeking a Senior Manager of Technical Accounting to lead M&A and strategic investment accounting as the company scales its capital deployment activities. Reporting to the Senior Director of Technical Accounting, you will be the key technical resource for structuring alternatives, consolidation outcomes, and financial statement impacts across mergers, acquisitions, strategic investments, joint ventures, and novel commercial structures.
Key responsibilities include executing technical accounting for business combinations and asset acquisitions; partnering with Corporate Development to influence deal structures toward preferred outcomes; performing accounting due diligence on prospective transactions; executing end-to-end purchase accounting including acquirer identification, consideration measurement, and asset/liability/goodwill recognition; managing post-close integration accounting including policy conformance and earn-out remeasurement; assessing consolidation and investment classification (VIE analysis, equity method, fair value measurement); managing third-party valuation specialists and reviewing PPA and intangible asset valuations; authoring and defending technical accounting policies and memoranda; partnering with Tax, Treasury, and Legal on deal structuring and financing instruments; refining the deal-accounting operating model including diligence checklists and SOX-ready controls; preparing transaction-related disclosures for quarterly and annual filings; and presenting conclusions to leadership.
You bring 10+ years of progressive accounting experience with 4+ years owning complex M&A and strategic investment accounting end-to-end. An active CPA license is required. Ideal candidates have significant Big 4 experience (National Office, Transaction Advisory, or Capital Markets/Accounting Advisory) paired with in-house experience at a high-growth or public technology company. You have contributed to multiple closed acquisitions and minority/strategic investments, including at least one meaningful transaction. You possess deep command of US GAAP for business combinations, consolidation, equity method, and fair value measurement, with a track record of positions that withstand auditor and regulator scrutiny. You are fluent in valuation concepts and can direct third-party specialists on PPA, contingent consideration, and impairment models. You have operated within a deal-accounting or investments-accounting function and contributed to playbook and controls design.
