Forter, an AI-powered commerce intelligence platform, is seeking a Senior Legal Counsel to build and scale its corporate legal function. Reporting to the General Counsel, you will be the sole dedicated corporate and securities lawyer, managing a broad portfolio of responsibilities including corporate governance, securities law, equity administration, and strategic transactions. Key responsibilities include: building and scaling the corporate legal function; managing the equity program with oversight of an Equity Plan Manager who will report to you; driving transaction readiness and compliance initiatives including policy development and training; providing legal support for corporate transactions (securities offerings, financings, investments, acquisitions, divestitures); assisting with board and committee meeting preparation and stockholder meetings; overseeing global corporate administration including foreign and domestic entity compliance, executive compensation, and stock administration; and collaborating cross-functionally with Finance, HR, Marketing, and other departments. As a lean legal team, you will wear multiple hats and gain exposure to commercial, privacy, product, and intellectual property matters as they arise. The role offers significant opportunity to shape legal strategy at a fast-growing, venture-backed technology company. Required qualifications: J.D. from ABA-accredited law school; admission to state bar (NY or CA preferred); 5+ years as corporate and securities counsel; general corporate transactional experience with strong securities law background; experience at high-growth technology companies, particularly B2B SaaS; high ethical standards and strong communication skills; ability to work cross-functionally on multiple priorities simultaneously. Preference for New York-based candidates, but remote candidates on the East Coast will be considered.
