Fluidstack is building civilization-scale compute infrastructure for AI, acquiring power, designing and operating data centers at unprecedented speed and scale. The legal team is being built from zero to support the largest compute buildout in history, with no inherited playbook—the systems and standards established now will define how the company operates for the next decade.
As Senior Counsel, Real Estate, you will own the full spectrum of real estate transactions underpinning Fluidstack's data center expansion. This includes structuring, drafting, and negotiating purchase and sale agreements, build-to-suit and ground leases, real estate financing, tax incentives, title review and insurance, zoning and land use matters, easements, environmental issues, and restrictive covenants. You will work with sophisticated counterparties in complex negotiations, balancing legal risk against the speed the business demands.
Key responsibilities include building Fluidstack's library of real estate form agreements and establishing the network of local counsel needed across markets. You will manage outside counsel across multiple disciplines with rigor on scope, quality, and spend. You will quarterback transactions cross-functionally with site selection, development, finance, and delivery teams to ensure deals move forward without stalling. You will serve as a strategic advisor to business leaders, anticipating legal and commercial issues before they arise and having solutions ready.
The role requires an active law license in at least one jurisdiction and the ability to meet admission requirements where you will practice. You should have autonomous experience structuring, drafting, and negotiating complex commercial agreements as lead counsel against sophisticated counterparties, with deep practice in land acquisition and disposition, build-to-suit and ground leasing, real estate finance, zoning and land use, construction, title and insurance, and related areas. You must have personally made sound, commercially pragmatic decisions in ambiguous, high-stakes situations where your judgment changed deal outcomes. Experience overseeing outside counsel across multiple disciplines and holding them to rigorous standards on scope, quality, and spend is essential. You write and speak clearly, translating dense legal issues into decisions and next steps for executives and counterparties.
Bonus qualifications include a mix of law firm and in-house experience, familiarity with using AI to improve legal work and efficiency, and in-house experience at a data center developer or cloud company.
