Coder is seeking a Senior Corporate Counsel to lead commercial contract negotiations and provide legal guidance as the company scales its AI development infrastructure platform. In this role, you'll draft, review, and negotiate commercial software licensing agreements with customers and business partners, working closely with Sales, Deal Desk, and Finance teams. You'll provide practical legal advice that balances business objectives with appropriate risk management, help identify and resolve contractual issues, and support the development of consistent, efficient contracting practices across the organization.
You'll manage multiple concurrent negotiations while maintaining attention to detail, communicate complex legal concepts clearly to non-legal stakeholders, and exercise sound judgment in distinguishing material risks from issues that shouldn't impede deal closure. The role requires partnering directly with business teams throughout the contracting lifecycle, from initial redlines through signature.
Required qualifications include 6+ years of legal experience with significant in-house background negotiating commercial software licensing contracts, a JD from an accredited law school, and active bar membership in good standing with at least one U.S. state. You should demonstrate strong commercial judgment, excellent written and verbal communication skills, and a practical approach to legal problem-solving. Experience with open source software or open source licensing is a bonus.
