Horizon3.ai is a fast-growing cybersecurity company that has built NodeZero, an autonomous penetration testing platform used by enterprises, government agencies, and managed security service providers to proactively identify and verify exploitable attack vectors. The company was founded by former U.S. Special Operations cyber operators and startup engineers.
As Senior Commercial Counsel, Enterprise, you will be a key legal partner supporting high-volume commercial transactions across the enterprise Sales, Channel/Alliances, and Customer Success teams. This is a hands-on, business-facing role where you'll work directly with go-to-market leaders to review, negotiate, and close complex enterprise agreements while maintaining efficiency and protecting company interests.
You will draft, review, and negotiate a wide range of commercial agreements including NDAs, SaaS subscription agreements (MSAs), order forms, data processing agreements (DPAs), and evaluation/trial agreements. You'll partner closely with Sales and RevOps to unblock contract-related issues, provide practical guidance to non-legal stakeholders, and help balance speed with risk management. A significant portion of your work involves managing customer redlines on standard agreements and responding to customer-initiated contract requests.
Beyond individual transactions, you'll contribute to building and improving contract templates, clause libraries, and negotiation guidelines. You'll identify recurring issues, help drive consistency in how they're handled, and leverage legal tech tools to streamline agreement processing. You'll also collaborate with internal teams including Security and Privacy to ensure contract terms align with business and product requirements, and support internal enablement efforts to help stakeholders understand standard terms and processes.
Required qualifications include a J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction. You need 6-10 years of in-house legal experience with a strong focus on commercial technology transactions, including direct experience negotiating SaaS and cloud-based software agreements and managing data protection/security issues in contracts. Excellent contract drafting, negotiation, and communication skills are essential, along with demonstrated ability to manage multiple priorities in a fast-paced environment and advise senior sales leaders.
Preferred qualifications include prior in-house legal experience within SaaS, experience supporting channel/MSP/MSSP models, familiarity with international contracting issues (GDPR, cross-border data transfers, export control), comfort with AI and legal tech tools, and prior cybersecurity experience.
