This Manager - Legal & Commercial role reports directly to the CEO and requires a mature, commercially astute legal professional with strong business judgment and executive maturity. The position combines commercial contract leadership with Indian corporate law and secretarial compliance responsibilities.
Key responsibilities include: end-to-end drafting, review, and negotiation of customer, partner, reseller, vendor, technology, SaaS, licensing, NDA, SLA, and DPA agreements; leading negotiations with enterprise customers, strategic partners, and vendors; assessing contractual provisions including indemnities, liability limitations, IP, confidentiality, data protection, warranties, and dispute resolution; providing the CEO and leadership with clear, actionable recommendations on material legal and commercial matters; identifying and mitigating legal risks while distinguishing acceptable from unacceptable risks; partnering with Sales, Finance, Procurement, Information Security, and Product teams; developing and maintaining contract templates, negotiation playbooks, and approval frameworks; managing the contract repository and key obligations including renewals and compliance; supporting international commercial contracting and coordinating with external counsel; and staying current on SaaS, technology, data privacy, and information security regulations.
On the corporate law side, the role owns compliance with the Companies Act 2013 and applicable regulations for Zluri's Indian entities; manages corporate secretarial matters including Board and shareholder meetings, notices, minutes, and resolutions; ensures timely ROC/MCA filings and statutory returns; supports the Board on corporate governance, related-party transactions, share issuances, ESOPs, and director matters; coordinates with the Company Secretary, auditors, and external counsel; and provides practical advice on Indian company law and regulatory requirements.
Required qualifications: LLB degree; 5–8 years of post-qualification experience in commercial contracts, technology/SaaS, or corporate legal roles; strong commercial contract drafting and negotiation experience with enterprise customers and technology businesses; understanding of SaaS, technology, IP, data protection, and information-security contractual matters; excellent written and verbal communication skills; strong working knowledge of Indian company law, corporate governance, and secretarial compliance; hands-on experience managing ROC/MCA filings and corporate actions.
