Salary: USD 149,600 - 187,000 / annual

Carta is seeking an experienced Counsel to join its Legal team, specifically the Contracts group serving the Americas. This role focuses on managing the full lifecycle of commercial contracts for sophisticated investment fund and asset manager clients, from initial review through execution. You will serve as the primary day-to-day contact for clients, negotiating and managing high volumes of pre-M&A contracts including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters. You'll work directly with counterparties while adhering to agreed turnaround times and building trusted advisor relationships with financial services clients. Key responsibilities include maintaining and updating client playbooks to ensure consistency and quality across negotiations, collaborating with and mentoring junior lawyers and paralegals, and contributing to the continuous improvement of Carta's legal technology suite. You'll leverage AI-backed tools, including Carta's proprietary platform Ava, to enhance efficiency and innovation. The ideal candidate brings 6-8+ years of post-law school corporate or transactional experience with a proven track record of independently negotiating pre-M&A contracts. You should have experience working with asset managers, investment banks, or other financial services firms and understand their expectations. A law degree and active license to practice in the Americas (US/Canada) are required. You are commercially minded, client-focused, and communicate legal advice crisply and concisely. You're tech-savvy and adaptable, comfortable working with legal technology tools and AI platforms, with a strong interest in legal tech being a plus. You thrive in fast-paced environments, prioritize effectively, and continuously seek ways to improve and innovate.
