Airwallex is a unified payments and financial platform serving over 250,000 global businesses. The Corporate Secretary role sits within the Legal, Risk & Compliance team and owns the full spectrum of company secretarial and corporate governance matters across Airwallex's licensed entities worldwide.
You will manage entity lifecycle operations including incorporation, restructuring, capital injections, and wind-downs across 20+ markets. Key responsibilities include organizing and facilitating board and committee meetings (preparing agendas, resolutions, minutes, and materials), maintaining statutory registers and corporate records for all group entities, and ensuring compliance with licensing conditions and regulatory obligations across jurisdictions.
You'll support equity administration (options and RSUs) in partnership with People & Talent, advise on governance improvements, and liaise with external service providers (e.g., Tricor), regulators, auditors, and counsel to ensure filings and governance operations run smoothly.
The role requires 5+ years in company secretarial, corporate governance, or related roles in financial services, fintech, or regulated industries. You must have proven experience supporting boards in global or regional structures, managing multi-jurisdictional entities and complex group structures, and strong knowledge of corporate governance frameworks and regulatory compliance across multiple jurisdictions. Excellent communication skills are essential for preparing board materials and interfacing with directors, regulators, and cross-functional stakeholders.
Preferred qualifications include professional company secretary credentials (ACG/FCG or equivalent), experience in high-growth fintech or payments companies with cross-border structures, proficiency with board portal tools (e.g., Diligent), and exposure to public-company readiness or pre-IPO governance workstreams.
