You will join the US commercial team as Commercial Counsel, supporting complex commercial transactions across North America. Your primary focus will be on go-to-market and sales transactions, including enterprise customer contracts. You will work closely with sales, business development, and operations teams to design strategies that support high-growth initiatives while managing legal and regulatory risk. Key responsibilities include: - Drafting, reviewing, and negotiating commercial agreements with emphasis on GTM/Sales transactions and enterprise contracts - Partnering with cross-functional teams to implement strategies supporting high-growth go-to-market initiatives - Monitoring and interpreting evolving legal and regulatory developments in data protection, technology, and AI frameworks, applying this knowledge to contract drafting and risk assessment - Developing, maintaining, and localizing contract templates, playbooks, and policies to reflect regional requirements and industry best practices - Providing clear, pragmatic, commercially-focused legal advice to cross-functional teams - Contributing to scaling the Legal Team's commercial function and fostering a collaborative, solutions-oriented culture The company values high-velocity operations, rapid experimentation, lean autonomous teams, and minimal bureaucracy. REQUIREMENTS: - J.D. and active membership in at least one U.S. State Bar (NY or CA preferred) - 6+ years of relevant post-qualification legal experience (in-house experience in technology or SaaS strongly preferred) - Proven track record drafting and negotiating complex commercial and technology agreements - Strong knowledge of enterprise software licensing, SaaS, data protection, and intellectual property - Experience advising on privacy, cybersecurity, and cross-border data transfer issues - Excellent communication, stakeholder management, and problem-solving skills - Comfort in fast-paced environments with shifting priorities and tight deadlines - Prior experience with heavily regulated industries is a plus
