Salary: USD 200,000 - 240,000 / annual
Vinci is building an AI-native computational platform for physics-based engineering intelligence, serving leading semiconductor and electronics companies. As Vinci's first Commercial Counsel, you will build the commercial legal function from the ground up, establishing scalable processes and playbooks that enable rapid growth while managing legal risk intelligently.
You will partner directly with Sales to structure and negotiate strategic commercial agreements including enterprise customer contracts, OEM relationships, cloud partnerships, licensing agreements, and procurement contracts. You'll work alongside Product, Engineering, and Customer Success to ensure SLAs, uptime commitments, and technical provisions are realistic and achievable, balancing customer expectations against operational capacity.
Key responsibilities include designing scalable contract templates, negotiation playbooks, clause libraries, and approval workflows that enable the company to close complex agreements with speed and consistency. You'll provide practical legal guidance to executives and cross-functional teams, helping them make informed decisions quickly by balancing commercial objectives with thoughtful risk management.
You will advise on strategic partnerships, new business models, pricing approaches, and international expansion opportunities. You'll establish governance frameworks and decision policies that help teams understand acceptable risk while maintaining consistency as the company scales. You'll determine where outside counsel creates unique value and progressively bring routine commercial legal work in-house.
Additionally, you'll support corporate growth initiatives including select corporate governance, board matters, intellectual property coordination, and employment matters, while helping define how the Legal function operates at Vinci—its priorities, processes, systems, tools, and cross-functional partnerships.
Success metrics include establishing a scalable contracting process with standard agreements and fallback positions, implementing a contract intake and approval workflow, developing a framework for prioritizing legal risk, building strong relationships across Sales, Product, Engineering, and Finance, taking the majority of routine commercial work in-house, and establishing clear frameworks for when outside counsel is necessary.
REQUIREMENTS:
- J.D. from an accredited law school and active membership in at least one U.S. state bar
- 5–10 years of experience negotiating complex commercial technology agreements
- Demonstrated success supporting enterprise software, AI, semiconductor, cloud infrastructure, or other deep technology companies
- Strong commercial judgment with ability to balance business objectives and legal risk while keeping transactions moving efficiently
- Experience negotiating enterprise AI, software licensing, OEM, cloud infrastructure, strategic partnership, procurement, and other complex technology agreements
- Excellent written and verbal communication skills with ability to explain complex legal issues in clear, practical business language
- Comfortable operating independently in high-growth startup environment where ambiguity is common and priorities evolve quickly
