CrowdStrike, a global cybersecurity leader, is seeking a Senior Counsel with deep expertise in executive compensation and equity matters to join its corporate legal team. This remote role will serve as a key liaison between corporate legal, employment legal, and HR functions, driving critical workstreams across M&A transactions, compensation disclosures, and equity incentive administration.
Key responsibilities include leading compensation and equity-related workstreams for M&A transactions, partnering with employment legal, HR, and deal teams to negotiate key documents, manage due diligence, and administer post-closing arrangements. You will advise on compensation-related disclosures and corporate governance matters in connection with proxy statement filings and annual stockholder meetings. The role involves managing legal workstreams for CrowdStrike's equity plans, including plan maintenance, international expansion, and performance award agreement preparation.
Additional duties include preparing and filing Form S-8 registration statements, advising on insider trading compliance and Rule 10b5-1 trading plan administration, serving as primary legal contact for stock administration, and assisting with compensation design and compliance initiatives.
Required qualifications: J.D. and bar admission with 7-10 years of relevant experience at a top-tier law firm or in-house at a public company. Deep technical expertise in executive compensation, global equity programs, M&A workstreams, disclosure, and compliance. Meaningful experience with complex cross-border M&A transactions. Strong organizational and interpersonal skills with proven ability to manage multiple high-stakes projects simultaneously in a fast-paced environment. Excellent communication and presentation abilities. Flexibility to accommodate global workforce hours. Experience leveraging AI technologies to enhance decision-making and streamline workflows is valued.
Bonus qualifications include familiarity with Hart-Scott-Rodino (HSR) Act filings.
