Vinyl Equity is building next-generation capital-markets infrastructure with a modern, digital-native transfer agent platform for public companies. Backed by Index Ventures, Spark Capital, and Infinity Ventures, the company is replacing slow, manual processes with secure, automated workflows. As Senior Product Manager for Core Transfer Agency & Corporate Actions, you will own the foundational domain that handles every share movement and value distribution on the platform. This is a domain-leader role requiring substantive operational experience in transfer-agency and corporate-actions workflows. You will own the complete product roadmap for transfers, issuances, cancellations, holder management, DRS, DWAC, restricted-security removal, dividends, distributions, spinoffs, escheatment, tax filings, tender offers, and warrant exercises. Key responsibilities include: - Owning the Core TA + Corporate Actions product roadmap end-to-end - Driving Tender Offer and Warrant Exercise as ongoing product lines with new deal types, deeper automation, and improved economics - Evolving product capabilities in reverse splits, rights offerings, escheatment, and DWAC/DRS API switches - Partnering with Core engineering tech leads on architecture, workflow design, and operational reliability - Engaging directly with customers—general counsel, equity administrators, securities lawyers, corporate secretaries - Representing Core TA and Corporate Actions in sales conversations with prospective issuers - Collaborating with operations teams on workflow design, SLA definitions, and exception escalation - Representing Vinyl in regulator and DTC conversations on Core TA mechanics and settlement workflows - Defining success metrics: transfer velocity, restricted-security removal time, corporate-action execution accuracy - Writing product specifications, decision memos, regulator-facing artifacts, and customer playbooks Required qualifications: 8–12+ years in capital-markets infrastructure (transfer agent, clearing firm, custodian, broker-dealer back office); personal operating depth in transfer agency and corporate actions; working knowledge of SEC 17Ad-17, Schedule TO, DEF 14A/DEFA14A; demonstrated track record shipping product or operational improvements; technical comfort with architecture and cross-functional engineering collaboration; strong customer-facing presence with counsel and lawyers; capability in regulator and DTC conversations; hands-on experience with AI/ML tools; comfort with 20% travel to Chicago and customer sites. Nice-to-haves include direct transfer-agent experience, clearing-firm or custodian background, tender-offer or warrant-exercise experience, KYC/KYB workflow familiarity, tokenized securities or on-chain settlement experience, and regulated-environment background (SOC 2, ISO 27001, GDPR).
