PagerDuty (NYSE:PD), a leader in Digital Operations Management, is seeking an experienced Senior Corporate Paralegal to join its legal team. This full-time, non-exempt (hourly) role reports directly to the VP, Deputy General Counsel and Corporate Secretary and focuses on supporting public company legal operations, securities filings, corporate governance, and board administration. Key responsibilities include SEC compliance and public company reporting: assisting with preparation, review, and EDGAR filing of periodic SEC reports (Forms 10-K, 10-Q, 8-K, proxy statements); drafting, filing, and tracking Section 16 reports (Forms 3, 4, 5) for officers and directors; coordinating Annual Meetings of Stockholders; and managing insider trading compliance, pre-clearance requests, trading blackout windows, and Rule 10b5-1 trading plan administration. Corporate governance and board administration responsibilities include assisting with board and committee materials, agendas, resolutions, and meeting minutes; managing the board portal (Nasdaq Boardvantage); maintaining state qualifications and annual reports for domestic and international subsidiaries; and coordinating Director & Officer questionnaires and independence assessments. Additional duties encompass operational legal support including managing certificates of insurance, subsidiary workflows, and earnings call customer permissions, plus cross-functional collaboration with Finance, Accounting, Investor Relations, Stock Plan Services, and HR on recurring compliance and transactional matters. The ideal candidate thrives in fast-paced environments, possesses deep knowledge of SEC regulations, demonstrates exceptional organizational and communication skills, and can work autonomously. Required qualifications include significant hands-on experience as a corporate paralegal supporting public company operations; direct experience with SEC filings and EDGAR submission processes; proven track record in board portal management, subsidiary entity maintenance, and corporate record-keeping; and a desire to excel in a dedicated, senior-level corporate paralegal capacity long-term. Preferred qualifications include dual experience at top-tier law firms and in-house at publicly traded tech/SaaS companies, prior experience with Nasdaq Boardvantage or similar board management software, and strong technical proficiency.
