We seek a Senior Commercial Legal Counsel to join our legal team and partner closely with the U.S. sales organization. This is a high-visibility role in a fast-paced, growth-stage environment where you will own commercial deals end-to-end, balancing commercial pragmatism with disciplined risk management. Key responsibilities include drafting, reviewing, and negotiating commercial agreements (SaaS agreements, MSAs, partnership and distribution agreements, order forms, SOWs, BAAs, NDAs). You will serve as the primary legal contact for the U.S. Sales team, working with Sales, Sales Ops, and Business Development to structure deals and drive contracts to signature. You will negotiate directly with customer and partner counsel and procurement teams while managing competing priorities and multiple concurrent deals. You will collaborate with Product, Security, and Privacy teams to address customer requirements around data protection, HIPAA compliance, information security, and healthcare-specific regulatory aspects. You will advise stakeholders on contract risks including licensing, IP rights, liability, and indemnities, translating legal risk into clear, actionable business guidance. Additional responsibilities include supporting broader U.S. commercial matters such as vendor/procurement agreements and channel agreements, identifying recurring deal friction points, and building templates, playbooks, and contracting workflows to increase deal velocity. Required qualifications: J.D. and active U.S. bar membership; 6+ years in commercial/tech transactions with significant in-house experience; demonstrated experience negotiating SaaS/technology agreements with sophisticated enterprise customers (healthcare/hospital experience strongly preferred); working knowledge of HIPAA, state privacy laws, and U.S. healthcare regulations; solid grasp of commercial IP concepts; proven ability to manage high-volume concurrent negotiations under deadline pressure; comfort working with minimal oversight in a lean legal team. Ideal candidates are strong negotiators who know when to hold firm and when to compromise, excellent contract drafters who explain legal terms in plain business language, commercially minded, strong communicators, proactive and self-directed, and resilient under pressure.
