Salary: USD 208,000 - 317,000 / annual
Carta is seeking a Senior Lawyer specializing in venture capital financings to join its Carta Law team within the Emerging Company Venture Capital (ECVC) function. You will serve as the primary point of contact for founders, venture capital funds, and their outside counsel, managing end-to-end early-stage financing transactions including SAFEs, convertible notes, and priced equity rounds.
Key responsibilities include: reviewing and negotiating financing documents (SAFEs, convertible notes, NVCA-form Stock Purchase Agreements, Investors' Rights Agreements, Voting Agreements, and ROFR/Co-Sale Agreements); coordinating term sheet negotiation, diligence, signing, and post-closing deliverables; supervising and mentoring paralegals through complex transactions; developing and evolving deal playbooks and negotiation parameters alongside management; building relationships with founders, venture funds, accelerators, and outside counsel; supporting business development efforts; and partnering with the technology team to improve AI-driven legal delivery tools.
You will work within a team that serves 55,000+ companies and 1.8M+ equity holders globally, supporting $250B+ in assets under management across 10,000+ funds and SPVs. The role requires strong ECVC law expertise, client-focused and commercially minded approach, natural leadership and mentoring abilities, detail-oriented execution focus, and comfort with AI-backed legal tools. You must be licensed to practice in California or a comparable jurisdiction, with 7+ years of relevant experience recommended.
