Coinbase is seeking a Senior Counsel for Shareholder Litigation to manage and drive the company's defense across securities class actions, shareholder derivative suits, and related complex civil litigation. This role sits within the Legal - Litigation team and handles some of the highest-stakes disputes the company faces, from federal securities claims to corporate governance disputes.
You will serve as the primary in-house point of contact for these proceedings, shaping strategy from pleadings through resolution and advising senior leadership and the board on litigation risk. Key responsibilities include owning day-to-day management of securities class actions brought under the Securities Act of 1933 and the Securities Exchange Act of 1934, including pleadings strategy, discovery, motions practice, expert work, and settlement negotiations. You'll lead the defense of shareholder derivative litigation, including pre-suit demand letters and related matters.
You will partner cross-functionally with corporate and commercial legal teams on various issues including public company filings, manage and direct outside litigation counsel from case inception through resolution, and monitor developments in corporate law and relevant jurisdictions to proactively advise on how emerging case law may affect the company's governance structures, disclosure practices, or litigation posture. Additionally, you'll build and maintain relationships with D&O insurance carriers and brokers to manage the claims process.
Required qualifications include 7+ years of litigation experience with meaningful time spent on securities class actions, shareholder derivative litigation, or related complex civil litigation at a leading law firm and/or in-house. You must have deep familiarity with corporate law, including fiduciary duty standards and Securities Laws, experience litigating in Delaware Chancery Court, and familiarity with the Private Securities Litigation Reform Act (PSLRA) and applicable pleading standards. A proven track record managing outside counsel strategically and resolving high-stakes litigation efficiently is essential, along with experience with D&O insurance structures and coverage. A Juris Doctor from an accredited law school and active membership in a US state bar in good standing are required.
