Salary: USD 180,000 - 240,000 / annual
Infleqtion, a publicly traded quantum technology company (NYSE: INFQ), is seeking a Senior Counsel for Commercial & Strategic Transactions to report directly to the Chief Legal Officer. This role serves as a critical legal partner for commercial contracting and strategic transactions across the organization.
The position is approximately 70–80% focused on complex commercial contracting and strategic transactions, with the remainder devoted to broader legal generalist responsibilities supporting a NYSE-listed company. You will structure bespoke, high-impact transactions aligned with enterprise value, provide risk-balanced guidance that enables revenue generation while protecting intellectual property and regulatory posture, and support engagements involving government and regulated customers.
Key responsibilities include drafting, reviewing, and negotiating a broad range of agreements: customer and strategic partnership agreements, government and research contracts, licensing and technology development agreements, SaaS and data agreements, and vendor/procurement agreements. You will coordinate with internal stakeholders on export control and national security considerations (ITAR/EAR familiarity is a plus), support strategic collaborations and joint development initiatives, and partner with Finance and leadership to align contractual structures with revenue recognition and public reporting requirements.
You will contribute to scalable legal processes, playbooks, and approval frameworks to increase velocity without sacrificing discipline, deliver targeted training to commercial and technical teams on contracting standards and compliance, and support cross-functional corporate, regulatory, and governance matters as needed.
Required qualifications: JD from an accredited law school with strong academic credentials; 6+ years of relevant legal experience including substantial responsibility for complex commercial transactions (top-tier law firm training strongly preferred); significant experience negotiating complex commercial agreements; comfort operating in a lean, high-ownership environment with limited bureaucracy; demonstrated ability to manage multiple competing priorities with precision; and strong executive communication skills.
Experience in technology, advanced research, aerospace, defense, or regulated industries is preferred. Government contracting frameworks (FAR/DFARS) experience is a plus but not required. This is a builder role for a lawyer who wants to help shape the operating model of a scaling public technology company in a high-accountability, execution-focused culture.
