As Senior Corporate Paralegal, you will be a key member of the legal team, providing comprehensive support across corporate legal operations. Your responsibilities will span corporate entity governance and maintenance for domestic and foreign entities, including preparation of board materials, written consents, resolutions, certifications, and minutes. You will assist with legal aspects of special projects including financings, real estate, insurance, and M&A transactions—handling transaction documents, due diligence, and ongoing compliance obligations.
You will support the compliance function by maintaining policy databases and providing guidance on legal processes and procedures. Additional duties include drafting and maintaining employment-related documents, conducting legal research and benchmarking, responding to internal and external legal inquiries (such as vendor KYC), and collaborating with other legal team members and company departments on strategic initiatives. You will also provide operational support to the legal team, such as managing legal subscriptions.
The ideal candidate brings a minimum of five years of corporate paralegal experience in a law firm or technology company, with broad expertise in corporate governance, securities, employment, and strategic transactions. You must be a registered notary and hold a bachelor's degree (paralegal certificate is a plus). You are self-motivated with exceptional organizational skills, attention to detail, and strong problem-solving abilities. You thrive in fast-paced environments, adapt quickly to changing priorities, and maintain a service-oriented, collaborative approach. Experience with private-company employee equity and cap table management software (such as Carta) is valued but not required.
