PagerDuty (NYSE:PD), a leader in Digital Operations Management, is seeking a Senior Corporate Counsel specializing in Commercial Transactions. You will report to the VP & Deputy General Counsel, Commercial Legal, and serve as a trusted legal advisor to PagerDuty's go-to-market teams.
In this role, you will draft, review, and negotiate commercial agreements end-to-end with customers and partners for PagerDuty's SaaS offerings, including products utilizing machine learning and generative AI features. You'll develop contract templates, standard processes, playbooks, and automation across the contract lifecycle, leveraging Legal AI tools to optimize deal velocity and contracting workflows.
Key responsibilities include partnering with sales, services, and channel partner teams on customer and deal-related matters; communicating complex legal issues clearly and solving problems practically; and liaising with cross-functional teams (finance, sales operations, security, product, support, privacy) to align on contractual terms impacting the business.
You bring at least 9 years of broad-based technology transactional experience across multiple business lines and jurisdictions, with deep understanding of SaaS and AI regulatory requirements. You have extensive experience drafting, reviewing, and negotiating diverse commercial transactions including SaaS sales, reseller agreements, strategic partnerships, consulting partnerships, licensing agreements, and statements of work. You excel at collaborating cross-functionally, communicating business risks clearly, and balancing legal safeguards with revenue support.
Preferred qualifications include experience supporting global sales organizations and international transactions; public sector contracting expertise with U.S. Federal and SLED customers; experience with regulated industries and modern data privacy/security frameworks intersecting with AI deployment (EU AI Act, NIST AI Risk Management Framework); and prior involvement in deal velocity projects such as contract lifecycle management implementation and generative AI contract review tool evaluation.
The role requires 2 days per week in-office presence at PagerDuty's San Francisco office.
