Solace is a Series C healthcare startup (valued at $1B+) founded in 2022 that pairs patients with expert advocates and tools to navigate the complex U.S. healthcare system. The company is backed by top-tier VCs including Inspired Capital, Craft Ventures, and Menlo Ventures, and is scaling rapidly toward public markets.
Reporting to the Chief Legal Officer, you'll own corporate and transactional legal work as the company scales. This is a senior individual contributor role focused on building the legal and governance infrastructure of a high-growth, pre-IPO company.
Key responsibilities include: facilitating financing and strategic transactions (equity/debt raises, credit facilities, capital markets activity) from structuring through close; counseling on M&A and strategic transactions including diligence, LOI/NDA/purchase agreement drafting and negotiation; building governance and compliance infrastructure for public company readiness; supporting board governance (materials, notices, agendas, minutes, resolutions); overseeing entity management across the corporate structure; building securities compliance policies and procedures; partnering with Corporate Development, Finance, and Compliance on transaction strategy and risk management; creating templates, playbooks, and internal processes to scale the legal function; and managing relationships with outside counsel.
You'll need a JD from an accredited law school and active bar membership. The role requires 3-9+ years of corporate, transactional, and securities law experience, with in-house experience strongly preferred. Financing, M&A, and corporate governance expertise is essential. IPO readiness and public company/SEC reporting experience are valuable but not required. Healthcare or regulated-industry experience is helpful but not required. You should have strong judgment on risk versus velocity, excellent negotiation and drafting skills, and the ability to manage complex cross-functional transactions on tight timelines. Must be based in the United States.
