Socure is building identity trust infrastructure for the digital economy, verifying identities in real time and preventing fraud at scale. The Senior Commercial Counsel, Data Acquisition & Licensing role is a strategic legal position focused on structuring, negotiating, and managing agreements that provide Socure access to the data and third-party services powering its identity verification and fraud prevention solutions.
Reporting to the Senior Director, Associate General Counsel, this role leads negotiations with data providers, credit bureaus, government and public-record sources, alternative-data vendors, and third-party service providers globally. Key responsibilities include:
- Lead negotiation and drafting of data licensing and acquisition agreements with providers worldwide, covering permitted use, downstream usage rights, data quality warranties, refresh obligations, service levels, and audit rights.
- Structure agreements with third-party providers whose products or services integrate into RiskOS (Socure's platform), including integration, reseller, and technology-partner terms.
- Collaborate with Product Counsel and Privacy teams on FCRA, GLBA, state consumer privacy laws (CCPA/CPRA), GDPR, and other regulatory frameworks governing data sourcing and use.
- Partner with Data Acquisition, Product, and Engineering teams to translate business and technical requirements into enforceable contract terms, advising on data provenance, consent, and permissible-purpose issues.
- Assess and allocate risk related to data ownership, IP in derived/enriched data and models, liability, and termination/data-return obligations.
- Develop and implement AI-supported tracking mechanisms to catalog usage rights, restrictions, and contractual limitations for each data source.
- Support general procurement and sales-facing legal teams on customer negotiations, providing subject-matter expertise on data rights and integration terms.
- Develop and implement agentic AI workflows to accelerate contract review, negotiation, and processing.
- Build and maintain data acquisition and platform-integration contract playbooks, templates, and negotiation guidelines.
- Manage relationships with external counsel on complex data-sourcing matters and support M&A due diligence on data rights.
- Monitor evolving data privacy and AI/data-use regulations across jurisdictions, proactively updating contract forms and policies.
- Train Sales, Product, and Data Acquisition teams on data rights, permissible use limitations, and legal implications of new data sources.
- Support cross-border data sourcing and transfer issues as the data supply chain expands globally.
- Mentor junior legal team members and foster cross-functional collaboration.
Required: JD from accredited law school with active bar membership in at least one U.S. state. Minimum 7 years post-JD legal experience in law firm or in-house settings, with substantial experience negotiating data licensing, acquisition, or data-sharing agreements. Deep familiarity with FCRA, GLBA, and state privacy laws required; credit bureau, alternative-data, or data broker relationship experience strongly preferred. Demonstrated success negotiating complex commercial data transactions with strong commercial judgment and ability to move quickly on high-volume deals. Technology integration, reseller, or platform-partner agreement experience a plus, particularly for SaaS platforms.
