Synthesia, the world's leading AI video platform used by over 90% of the Fortune 100, is seeking a Senior Commercial Counsel to join its legal team in New York City (hybrid). This is a high-impact role supporting the Sales, Marketing, Finance, and Go-To-Market organizations as the company scales post-Series E ($200M raise, $4B valuation).
You will report to the Director of Commercial Legal and own a broad portfolio of commercial legal matters. Primary responsibilities include drafting, reviewing, and negotiating service agreements, software licenses, data processing agreements, and NDAs with prospective customers and vendors. You'll advise on intellectual property, data privacy, data security, software licensing, and go-to-market strategy. The role requires staying current on industry developments in AI governance, privacy regulations (GDPR, CCPA), and emerging legal frameworks affecting AI companies.
Key responsibilities:
- Draft and negotiate commercial agreements supporting sales, partnerships, and vendor relationships, with deep expertise in SaaS and software licensing structures
- Advise on IP, data privacy, data security, software licensing, and go-to-market strategy
- Develop scalable processes, policies, and playbooks to support organizational growth
- Build company expertise in AI governance, data protection, financial services, and healthcare regulatory matters
- Provide independent, practical guidance balancing business objectives with legal risk
- Negotiate with enterprise customers on complex terms, including AI-specific provisions
Required qualifications:
- J.D. from accredited U.S. law school; licensed to practice as in-house counsel
- 6+ years post-qualification experience with commercial transactions (SaaS, IP licensing, software licensing, distribution, outsourcing)
- In-house legal experience in tech sector (AI company experience a plus)
- Proficiency negotiating data processing agreements and knowledge of GDPR/CCPA in commercial context
- Experience with enterprise customer negotiations, including on customer forms
- Understanding of cloud services, professional services, and technology contracts
- Knowledge of sales operations, revenue recognition, Order Forms, and SOWs
- Exposure to AI-specific legal issues: model IP ownership, training data, input/output rights
- Strong written communication for non-legal audiences
- Ability to manage competing priorities on tight timelines
