Crunchbase is seeking a Senior Commercial Counsel to serve as a key legal partner to Sales, Revenue, Product, Marketing, and Security teams. This role manages a broad range of commercial transactions and legal matters, with primary focus on SaaS and data licensing agreements. Key responsibilities include independently reviewing, drafting, and negotiating complex commercial agreements including SaaS contracts, Data-as-a-Service agreements, enterprise customer agreements, cloud/reseller/partnership agreements, and vendor/professional services agreements. You will partner closely with Sales and Revenue leadership to structure deals aligned with company risk tolerance and strategic priorities, advise internal stakeholders on legal/financial/operational risk, and support RFPs and customer due diligence processes. The role encompasses data privacy and security guidance, advising on GDPR, CCPA/CPRA, and evolving U.S. state privacy laws as they relate to product features and customer agreements. You will partner with Security and Product teams on data protection and information security questionnaires, and assist in developing compliance policies and processes. A significant component involves AI governance and emerging technology. You will advise on legal and regulatory considerations related to AI-enabled products and internal AI use, including data usage rights, IP ownership, transparency requirements, and contractual risk allocation. You'll draft AI-specific contractual provisions and support development of internal AI governance policies. Additional responsibilities include contributing to continuous improvement of legal templates and clause libraries, identifying recurring negotiation themes to reduce friction and accelerate deal cycles, supporting contract lifecycle management tool implementation, and providing practical legal advice to Product, Marketing, Finance, and People teams. The ideal candidate has strong business judgment, exceptional contract drafting and negotiation skills (particularly in SaaS and data transactions), ability to operate independently in fast-paced environments, and clear communication skills. Required qualifications include a JD from an accredited law school, active bar membership in at least one U.S. state, and 5+ years of commercial law experience in technology/SaaS companies. Experience with data privacy, information security, AI-related legal considerations, contract management systems, and legal technology tools is essential.
