You'll join the Carta Law team within the Contracts - Americas function, managing the full lifecycle of commercial contracts for sophisticated investment fund and asset manager clients. Working alongside fellow lawyers and paralegals, you'll handle high volumes of pre-M&A contract work at speed, leveraging AI-backed tools including Carta's proprietary platform, Ava.
Key responsibilities include:
- Negotiating and managing high volumes of pre-M&A contracts (NDAs, confidentiality agreements, NRLs, joinders, engagement letters) with direct counterparty liaison and adherence to turnaround times
- Serving as primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
- Maintaining and updating client playbooks to ensure consistency and quality across negotiations
- Collaborating with and mentoring junior lawyers and paralegals, reviewing their work and contributing to team culture
- Contributing to continuous improvement of Carta's legal technology suite, identifying innovation opportunities with AI-backed tools
You bring 4+ years of post-law school corporate or transactional experience with a track record of independently negotiating pre-M&A contracts. You have experience working with asset managers, investment banks, or financial services firms and understand their expectations. You're licensed to practice law in the Americas (US/Canada), tech-savvy with legal technology platforms, and thrive in fast-paced environments with strong prioritization and self-direction.
