Mixpanel is seeking a Procurement Counsel to join its Legal Team, reporting to the Sr. Corporate Counsel. This role combines strategic contract negotiation with day-to-day legal support for a global SaaS analytics platform trusted by 29,000+ companies including Netflix, Pinterest, and Workday.
You will serve as a trusted business partner overseeing vendor negotiations, commercial transactions, and procurement processes. Primary responsibilities include drafting, reviewing, and negotiating a wide range of commercial agreements—vendor software licenses, professional services contracts, data licenses, NDAs, independent contractor agreements, and sponsorships. You'll evaluate risk factors, anticipate legal issues, and provide practical counsel on agreement structure and company policies.
A key focus area is assessing AI-related contractual risks, including evaluating provisions around model training, data usage rights, output ownership, indemnification, and compliance with emerging AI regulations. You'll collaborate cross-functionally with Marketing, Finance, Engineering, Procurement, People Operations, Privacy, and Security to develop scalable contracting processes, templates, and playbooks.
You'll also train internal stakeholders on processes and common contract revisions, stay informed of regulatory developments affecting the business, manage high-volume request triage, and support ad hoc legal projects as needed. The role requires balancing competing priorities, managing escalations, and being highly responsive to business needs.
Required qualifications: JD from an accredited law school with active bar licensing. 1–3 years of relevant in-house legal experience, with specific expertise negotiating SaaS agreements. Direct experience with strategic business agreements, information security and compliance, IP rights, and privacy/data protection matters. Familiarity with legal and commercial issues arising from AI and machine learning, including experience reviewing AI-related contract terms.
