Docker seeks a Principal Product & Commercial Counsel to serve as embedded legal counsel to its Product Management and Engineering teams. This hybrid role sits at the intersection of product counseling and commercial negotiation, reporting to Docker's Head of Legal.
You will be the primary legal partner across Docker's full product lifecycle—from concept and design through launch, monetization, and end of life. Key responsibilities include:
• Provide pragmatic, business-oriented legal advice on new products, features, pricing and packaging changes, Early Access programs, and end-of-life decisions.
• Advise on open source software matters: license analysis and compatibility (Apache, MIT, BSD, GPL, LGPL, AGPL, source-available), inbound/outbound OSS usage, contribution policies, and compliance obligations across Docker's products and distribution channels.
• Draft and maintain product-facing legal terms, including service-specific terms, subscription and licensing agreements, Early Access and beta terms, acceptable use policies, and documentation for new monetization models.
• Structure and negotiate commercial provisions in customer and partner agreements relating to product licensing, cloud services, hybrid on-premise and SaaS deployments, IP ownership, indemnification, warranties, and support commitments.
• Counsel on AI-enabled product features, including training data provenance, output ownership, third-party model licensing, and evolving AI regulatory requirements.
• Collaborate with GRC on product design and regulatory obligations, including software supply chain security and emerging regimes such as the EU Cyber Resilience Act.
• Support IP strategy, including trademark usage guidelines, brand protection, and coordination with outside counsel.
• Monitor legal and regulatory developments affecting developer tools, open source, cloud services, and AI.
• Build scalable playbooks, templates, and self-service resources enabling Product and GTM teams to move quickly within guardrails.
Required: J.D. from accredited law school, active bar membership (at least one U.S. state), 6+ years relevant legal experience (meaningful in-house at software/cloud/developer tools company preferred). Deep familiarity with open source licensing, hands-on SaaS/software licensing agreement drafting and negotiation, working technical fluency with developer software concepts (containers, registries, CI/CD, APIs, supply chain security), understanding of AI/LLM legal issues, and excellent communication skills.
