Perplexity AI seeks a Principal Counsel, Corporate to lead all corporate legal matters as the company scales. This is a hands-on, high-impact role for an experienced corporate attorney who will own the full lifecycle of corporate governance, equity administration, and financing transactions.
Key responsibilities include leading corporate governance for Perplexity and subsidiaries (board meetings, resolutions, charters, policies, records management); structuring and negotiating equity and debt financings from term sheet through closing; managing secondary transactions and liquidity programs including tender offers and repurchases; partnering with Finance, Accounting, Tax, and People teams on equity compensation and cap-table administration; supporting M&A and strategic transactions; building scalable corporate legal infrastructure including templates, workflows, and entity management systems; supporting corporate readiness for future financing or public-company transition; and monitoring legal and market developments affecting private-company governance.
The ideal candidate brings 9+ years of law firm and/or in-house experience, with a strong track record leading venture and growth equity financings, secondary transactions, and governance for high-growth private technology companies. Deep expertise in cap-table mechanics, equity compensation administration, and charter/stockholder agreement provisions is essential. You should have strong business acumen, ability to partner across Finance, Accounting, People, and executive teams, and clear communication skills for both business and technical audiences. A hands-on, low-ego approach, comfort with fast pace and change, high integrity, and intellectual curiosity are critical.
Requirements: JD and active US state bar membership (or eligible to register as in-house counsel in California).
