Beacon Software is seeking an ambitious paralegal to join its legal team as the day-to-day point of contact for post-close legal integration across acquisitions. Reporting to Beacon's Senior Paralegal and Legal Operations Lead, you will execute the legal integration workstream on every deal, owning corporate governance cleanup, driving diligence follow-up, and building integration workflows for legal. Key responsibilities include leading the legal integration workstream for newly acquired companies through cross-functional collaboration; building out Beacon's legal integration workflows and program while managing templates and resources; reviewing data rooms and assisting with diligence collection and summarization; handling corporate management tasks including registered agent transfers, state and DBA registrations, and minute book cleanup; maintaining post-close trackers from day one through completion; identifying and escalating legal risks in existing agreements; and ensuring employment agreements, customer contracts, and corporate records are centralized. You must be a licensed paralegal in good standing with the Law Society of Ontario with a bachelor's degree or equivalent. You need 1–3 years of experience as a corporate clerk, paralegal, or in corporate governance/legal support roles, ideally in multi-entity environments such as M&A integration, private equity, venture capital, or holding companies. Strong knowledge of corporate governance, minute book management, and entity lifecycle administration is essential, along with working understanding of Canadian and U.S. corporate entity law at federal and provincial/state levels. You should be familiar with U.S. state and Canadian provincial corporate filing requirements, experienced managing cross-jurisdictional compliance, and skilled at coordinating with registered agents and external counsel. Strong organizational and project management skills with meticulous attention to detail are required. Proficiency with AI tools for legal work—including AI-assisted contract review, document drafting, and legal research—is essential, with genuine enthusiasm for integrating AI into daily practice. You must be proficient in Microsoft Office/Google Suite and project management tools like Asana or Zendesk.
