Crusoe is a vertically integrated AI infrastructure company building energy-efficient solutions for large-scale AI workloads. The company owns and operates the full stack from power generation through cloud services, positioning itself at the intersection of energy and AI compute. This Legal Counsel role reports to the Assistant General Counsel for Finance and Corporate Development and sits at the center of the company's most significant transactions and strategic initiatives. You will execute high-velocity corporate financing deals, including revolving credit facilities, asset-backed term loans, and structured finance arrangements, managing transactions independently from term sheet through closing with guidance from the AGC. Key responsibilities include drafting and negotiating complex financing documentation (credit agreements, parent guarantees, security packages, ancillary documents), managing due diligence and closing logistics, supporting ongoing covenant compliance, and handling entity management and intercompany transactions. You will also serve as a trusted advisor to Finance and Corporate Development stakeholders, translating complex legal concepts for non-legal audiences and coordinating across outside counsel and internal teams including Cloud Sales, Digital Infrastructure, and Commercial. The ideal candidate brings 7–10 years of progressive transactional legal experience from a top-tier law firm or in-house legal department, with deep expertise in corporate and finance transactions. You should be comfortable leading negotiations, managing multiple high-stakes workstreams simultaneously, and balancing legal risks against commercial objectives. Strong business judgment, corporate governance knowledge, and exceptional attention to detail are essential. Prior experience at startups, AI companies, digital infrastructure firms, or high-growth ventures is valued, as is familiarity with real estate, construction finance, and capital markets relationships. You will work in a lean, growing legal team within a well-funded, fast-paced technology infrastructure company. The role requires active bar admission (any state), a J.D. from an accredited law school, and proficiency with Google Workspace, Microsoft Office, and AI tools. This is a safety-sensitive position requiring drug and alcohol program participation.
