Crusoe is a vertically integrated AI infrastructure company building energy-efficient solutions for the world's most demanding AI workloads. The company owns and operates the full stack from power generation through cloud services, positioning itself at the intersection of energy and AI compute.
You will join the legal team as Legal Counsel – Finance and Corporate Development, reporting to the Assistant General Counsel. This is a high-impact individual contributor role focused on executing complex corporate and project-level financing transactions for a well-funded, rapidly scaling technology infrastructure company.
Key responsibilities include:
• Execute corporate financing and capital markets transactions independently, including revolving credit facilities, asset-backed term loans, and structured finance deals from term sheet through closing. Provide strategic advice to Finance stakeholders on contract terms, legal risks, and transaction structure.
• Draft, review, and negotiate complex financing documentation including credit agreements, parent guarantees, security packages, and ancillary documents. Exercise strong judgment on risk allocation and deal structuring.
• Support due diligence efforts, manage document flow, and coordinate closing logistics across outside counsel and internal teams.
• Maintain ongoing covenant compliance and support post-closing obligations.
• Handle entity formations, intercompany transactions, and corporate governance matters. Develop standardized templates and processes to improve team efficiency.
• Collaborate across Finance, Corporate Development, Cloud Sales, Digital Infrastructure, and Commercial teams. Translate complex legal concepts for non-legal audiences and coordinate between external and internal stakeholders.
You bring 7–10 years of progressive transactional legal experience from a top-tier law firm or in-house legal department, with deep expertise in corporate and finance transactions. You are a solution-oriented deal specialist comfortable leading negotiations and managing high-velocity closings. You demonstrate strong business judgment, balancing legal risks against commercial objectives, and thrive in fast-paced, dynamic environments managing multiple high-stakes workstreams simultaneously.
Bonus experience includes startup or AI company background, real estate and construction finance knowledge, or familiarity with investment banks and institutional lenders.
