Clio is a global leader in legal AI technology and cloud-based legal practice management software, trusted by tens of thousands of law firms worldwide. The company is scaling its EMEA legal function following significant expansion, including the acquisition of vLex, a leading global legal research platform.
Reporting to the Senior Legal Counsel, EMEA, this role supports the commercial and operational legal needs of the business across the EMEA region. You will manage a varied portfolio of commercial matters with genuine breadth and direct business impact, working closely with cross-functional teams including Sales, Customer Success, Marketing, Procurement, Security, and Operations.
Key responsibilities include:
**Commercial Contracting**: Draft, review, and negotiate a broad range of commercial agreements (NDAs, vendor contracts, data processing agreements, professional services agreements, SOWs). Independently manage routine and mid-complexity contract negotiations, gathering commercial context, developing practical positions, and escalating novel or high-risk issues with clear analysis. Support internal stakeholders in understanding contractual obligations and risk exposure. Assist in maintaining and improving contract templates, playbooks, and negotiation guidance. Support Sales on enterprise deal execution, including review of customer-proposed terms and legal input on complex negotiations. Provide legal input on RFP and bid responses.
**Business Partnership**: Act as a trusted legal partner to Sales and business teams, providing commercial, pragmatic advice that supports deal execution while managing risk. Help manage legal intake, triage, and prioritization across EMEA. Partner with business owners to facilitate efficient and compliant deal execution through clear conversations and focused guidance. Support customer escalations involving legal and contractual issues.
**Privacy and Data Protection**: Review and negotiate data processing agreements and data protection terms. Support routine privacy and GDPR compliance enquiries. Assist with compliance initiatives including data subject requests and privacy reviews of new products.
**Legal Operations**: Contribute to developing scalable legal processes, self-service tools, and knowledge management resources. Build legal infrastructure including frameworks, templates, and playbooks that enable consistent decisions at scale.
