Socure is building identity trust infrastructure for the digital economy, verifying identities in real time and preventing fraud. The company is seeking a Commercial Counsel to join its legal team, reporting to the Head of Commercial Legal or Senior Legal Counsel.
In this role, you will serve as a legal partner to Sales, Customer Success, Finance, Security, and Product teams on deal structure, contract negotiations, risk management, and compliance. You will review, draft, negotiate, and interpret a wide range of technology and commercial contracts including SaaS agreements, partner/reseller agreements, NDAs, evaluation agreements, and vendor contracts. You will independently identify and resolve legal and regulatory risks related to intellectual property, licensing, data use, privacy, and compliance.
Key responsibilities include becoming an expert on Socure's products and business models to help bring new offerings to market, identifying and advising on risk with creative mitigation solutions, and preparing and maintaining template agreements and playbooks to accelerate sales cycles. You will use AI tools as part of your daily workflow for contract drafting, redlining, and review to improve team efficiency. You will also ensure customer contract terms addressing data usage are consistent with Socure's underlying data-acquisition and vendor agreements, coordinating with other legal counsel and teams as needed.
Required qualifications: JD from accredited law school with active bar membership; 4-8 years of post-JD experience independently negotiating SaaS, technology, licensing, partner, and vendor agreements with minimal oversight; working knowledge of consumer data privacy laws (CCPA/CPRA, GLBA, FCRA) relevant to commercial contracting; comfort using AI tools in daily workflow.
Preferred experience includes law firm background, data use/licensing expertise, fintech experience, and public sector (SLED/Federal) sales contracting experience. You should demonstrate drive for continuous improvement, ability to independently manage multiple projects with varying deadlines, focus on closing deals and finding pragmatic solutions, and collaborative partnership skills in a fast-paced startup environment.
