This role is a senior in-house counsel position on the Commercial Legal team in New York, focused on drafting, reviewing, and negotiating complex commercial agreements across diverse counterparties and transaction types. The ideal candidate combines private practice rigor with in-house commercial acumen, capable of navigating sophisticated legal issues while partnering effectively with business stakeholders.
Key responsibilities include:
- Drafting, reviewing, and negotiating payment processing agreements, platform agreements, partner and referral agreements, technology licensing agreements, data sharing agreements, and vendor contracts
- Providing day-to-day legal support to commercial, product, partnerships, and operations teams throughout the deal lifecycle
- Identifying and managing legal risk in commercial contexts with clear, actionable guidance
- Developing and maintaining contract templates, playbooks, and standard form agreements
- Advising on regulatory and compliance considerations relevant to payments and financial services
- Collaborating across the legal function on regulatory, privacy, employment, and litigation matters
- Supporting implementation of legal processes and tooling for efficiency
Required qualifications:
- JD from accredited law school; admission to practice in New York or eligibility for in-house counsel registration
- Minimum three years of legal experience combining private practice (preferably top-tier or specialist firm) and in-house counsel experience, ideally in technology, fintech, or financial services
- Demonstrated track record of independently drafting and negotiating complex commercial agreements
- Strong commercial instincts balancing legal risk with business objectives
- Excellent written and oral communication skills
- Proactive, self-starting approach managing demanding, varied workload
Preferred qualifications:
- Experience advising on commercial matters in regulated industries
- Familiarity with payments, card network rules, banking relationships, or financial services regulatory frameworks
- Experience with AI-enabled legal and productivity tools
- Experience managing and partnering with external counsel
