As Legal Counsel for Project Finance & Banking, you will report to the Head of M&A and Finance Legal Counsel in Paris and work closely with corporate counsel, Finance, and Business teams. Your primary focus will be structuring, drafting, negotiating, and closing non-dilutive financing transactions that support Mistral's growth—including corporate loans, asset-backed financings, and project finance deals for compute infrastructure and data center investments.
Key responsibilities include:
**Financing Transactions**: Lead end-to-end structuring and negotiation of financing documentation using LMA-standard and bespoke structures. Serve as primary legal contact for banking and financing counterparties. Advise on financing structures for data center and compute infrastructure projects. Coordinate with external law firms on cross-border transactions and manage multi-jurisdictional teams.
**Cross-functional Partnership**: Work daily with Treasury and FP&A to align financing solutions with capital strategy. Collaborate with M&A, Compute, and Business teams on deal-specific structures. Provide practical legal guidance enabling fast execution while managing risk.
**Legal Infrastructure**: Build and maintain internal templates, precedents, and guidelines for financing documentation. Support ancillary legal matters including corporate compliance, insurance, and Sapin II compliance.
You will need a law degree (LLB, LLM, JD) from an accredited EU law school, with admission to practice in at least one jurisdiction (US admission a plus). Minimum 7 years of relevant legal experience, including 4+ years at an international law firm, is required. You must have a proven track record structuring and negotiating non-dilutive financing deals with strong project finance or infrastructure financing experience, particularly involving long-term capex or compute/data center infrastructure.
Essential skills include fluent English and French (written and verbal), cross-border structuring expertise, strong negotiation abilities, business acumen, and understanding of tax implications in financing. Knowledge of AI technologies and ethical considerations related to AI is important. You should be analytical, adaptable, and comfortable managing multiple priorities in a fast-paced environment.
