Mistral is a full-stack AI company providing frontier models, developer tools, applications, and compute infrastructure. The company partners with enterprises across finance, manufacturing, defense, healthcare, and the public sector to co-create customized AI systems. As Banking & Financing Legal Counsel, you will report to the Head of M&A and Finance Legal Counsel and work closely with corporate counsel, Finance, and Business teams. You will be responsible for structuring, drafting, negotiating, and closing non-dilutive financing transactions that support Mistral's growth, including corporate loans, asset-backed financings, project finance deals, and infrastructure investments. Key responsibilities include: **Financing Transactions**: Lead the legal structuring and negotiation of financing documentation for corporate loans, asset-backed financings, and project finance deals supporting compute infrastructure and data center investments. Serve as the primary legal contact for banking and financing counterparties, working with LMA-standard and bespoke documentation. Advise on financing structures for data center and compute infrastructure projects. Coordinate with external law firms on cross-border structures and manage multi-jurisdictional transaction teams. **Cross-functional Partnership**: Partner daily with Finance (Treasury, FP&A) to align financing solutions with capital strategy and operational needs. Collaborate with M&A, Compute, and Business teams on deal-specific financing structures. Provide practical legal guidance enabling the business to move fast while managing legal risks. **Legal Infrastructure**: Build and maintain internal templates, precedents, and guidelines for financing documentation. Support ancillary legal topics including corporate compliance, insurance, and Sapin II matters. Required qualifications: Bachelor's degree or above (LLB, LLM, JD preferred) from an accredited law school in France or EU country. Minimum 7 years relevant legal experience, including at least 4 years in an international law firm. Proven track record structuring and negotiating non-dilutive financing deals with familiarity of LMA standard documentation. Strong experience in project finance or infrastructure financing, particularly involving long-term capex or compute/data center infrastructure. Ability to navigate cross-border structuring and multi-jurisdictional deals. Fluent in English and French. Strong business acumen with demonstrated impact across multiple industries. Excellent negotiation skills with banking, investor, and infrastructure partners. Understanding of tax implications of financing structures. Knowledge of AI technologies and their applications. Analytical skills for complex cross-border structuring. Adaptability in fast-paced environments. Ethical awareness regarding AI fairness, transparency, and accountability. International experience preferred.
