Volta is a vertically integrated AI infrastructure platform building the compute utility layer for the AI era. Launched with a $10B strategic partnership with a leading frontier AI lab, Series A funding from Andreessen Horowitz, and a $5B AI Infrastructure Fund, the company is scaling rapidly across London, Palo Alto, and New York. As Legal Counsel, you will support Volta's Executive and Legal/Compliance teams in drafting, reviewing, and negotiating agreements that underpin fundraising, strategic direction, and operations. This includes capital raises with investors and debt financings, vendor and procurement contracts, and customer and partnership agreements. Key responsibilities include: - Draft, review, and negotiate commercial contracts (vendor, procurement, customer agreements) with attention to commercial risk, operational requirements, and financing considerations - Advise internal stakeholders on contractual risk, obligations, and negotiation strategy - Support procurement and delivery teams on equipment, construction, and services agreements for data center projects - Assist with corporate structuring, entity formation, corporate workflows, and governance negotiations - Maintain and improve contract templates, playbooks, and approval workflows - Track contractual obligations and ensure compliance with commercial terms - Collaborate with General Counsel/VP Legal on regulatory, tax, and policy matters - Support due diligence for partnerships, financings, and transactions - Stay current on legal and regulatory developments affecting the business You bring 4+ years of commercial law experience (in-house or law firm), ideally supporting infrastructure, technology, or energy clients. You hold a J.D. and active bar membership in a relevant jurisdiction (US or England). You have strong commercial contract drafting and negotiation skills, with experience in vendor, procurement, or construction agreements preferred. You can manage high contract volumes and competing priorities, demonstrate excellent judgment and attention to detail, communicate effectively, work directly with business stakeholders, and thrive in fast-paced, high-growth environments.
