Salary: USD 125,000 - 165,000 / annual
SimpleClosure is building infrastructure to streamline business dissolution and shutdown processes. The company has raised over $20M from leading VCs and serves more than 7,000 companies, helping founders navigate legal, tax, operational, and administrative aspects of company closure while connecting them with asset buyers.
We seek a business-minded Legal Counsel to join as the second in-house attorney, working as a generalist across sales, operations, customer success, and commercial partnerships. This role extends beyond traditional in-house counsel work, encompassing customer-facing legal communications, sales support, deal-risk reviews, and building out legal function coverage across dissolution operations, commercial contracting, licensing, vendor management, and regulatory compliance across multiple jurisdictions.
Key responsibilities include providing practical, business-oriented legal advice to cross-functional teams; drafting, reviewing, and negotiating commercial agreements (licensing, vendor, partner contracts); advising sales on legal and regulatory questions in customer acquisition; supporting customer-facing legal communications and escalations; conducting legal research for expansion into new U.S. jurisdictions; identifying and assessing legal risks; building internal templates and playbooks; reviewing customer-facing and marketing materials for compliance; coordinating with outside counsel; and taking on additional projects as the business scales.
Required qualifications: JD from ABA-accredited law school with active bar membership in at least one U.S. state; 2-4 years of legal experience ideally mixing law firm and in-house work; strong commercial instincts with comfort reviewing contracts and advising business teams without over-lawyering; excellent communication skills translating complex legal concepts for non-legal stakeholders; detail-oriented with strong drafting skills; ability to operate independently in fast-paced startup environment with limited supervision. Experience in corporate dissolution, licensing, data privacy, corporate transactions, commercial contracting, or general in-house practice is a plus but not required.
Compensation: $125,000–$165,000 base salary depending on experience and location, plus competitive equity.
