Helsing is a defense AI company on a mission to protect democracies by achieving technological leadership in AI. The company is building an ambitious team of engineers, AI specialists, and program managers across European offices. As Lead Legal Counsel for the Corporate Office, you will lead and scale Helsing's global corporate legal function, reporting to the Group General Counsel. You will manage a team of three Legal Counsels covering Corporate, Employment, and Compliance, and serve as a trusted legal partner to Finance, People, and executive leadership. Key responsibilities include: - Managing all aspects of global corporate governance, including board and shareholder matters, subsidiary management, delegation of authority frameworks, and statutory filings across jurisdictions at the Helsing SE level - Advising on and managing equity incentive schemes (VSOP, ESOP, and related instruments) across multiple jurisdictions while ensuring capital market compliance - Line-managing and developing three Legal Counsels, setting clear goals aligned with the Legal OKR framework - Coordinating cross-functional legal workstreams for international expansion, including entity formations, market entry structuring, M&A, and strategic partnerships - Contributing to the development of Helsing's AI-powered Legal Operating System, identifying opportunities for systematization and automation You should hold a full legal qualification (German Volljurist or equivalent) with substantial experience in both top-tier law firms and senior in-house environments. Deep expertise in German corporate law (GmbH, SE, AG) and international corporate governance is essential, along with experience managing complex shareholder structures and equity schemes across jurisdictions. You must have led or mentored legal teams, communicate with clarity at executive level, and be fluent in German and English professionally. Nice-to-have experience includes advising or working at DAX/MDAX companies or equivalent large-cap multinationals.
