You will join the Legal team as a Corporate Counsel, reporting directly to the Director Legal - Corporate, Finance & Transactions. This is a hybrid role based in Berlin-Friedrichshain with flexibility to work remotely up to 30 days per year internationally. Key Responsibilities: - Corporate Housekeeping: Manage domestic and international group entities, ensuring timely and compliant execution of corporate governance measures. This includes drafting shareholder resolutions, conducting officer appointments and removals, creating powers of attorney, organizing notarial registrations, and maintaining corporate documentation. You will independently handle all notarial matters. - Corporate Restructuring: Support the Corporate & Finance team on corporate restructurings, company formations, mergers, spin-offs, name changes, and other group-level transactions. - Corporate Contract Management: Draft, review, and manage corporate contracts and documents, including management employment agreements, shareholder agreements, and intra-group arrangements. - Process & Deadline Management: Develop and maintain efficient processes for corporate housekeeping and contract management, reliably tracking deadlines, responsibilities, and implementation status across all matters. - Strategic Support: Increasingly take ownership of assigned topics and projects; support strategically significant corporate transactions and selected financing-related transactions. You will work in a dynamic, international environment with 65+ nationalities represented. Requirements: - Minimum qualification: First German State Law Examination (Erste Juristische Staatsprüfung) or business law degree with above-average performance. - Interest in corporate and financing law with ideally some practical experience in corporate housekeeping, notarial matters, finance, or corporate contract management. - Structured, careful, and independent working style; ability to manage multiple parallel matters while tracking deadlines, details, and priorities. - Proactive ownership of assigned topics; ability to coordinate internal and external stakeholders. - Clear, reliable communication; ability to explain complex legal matters to non-lawyers. - Native-level German and good English (written and spoken). - Comfort working with diverse teams in a dynamic, international environment.
