Wildlife Studios, a leading mobile game developer and publisher, is seeking a Counsel to join its Legal Team. This is a strategic, autonomous role with international scope covering entities in the United States, Brazil, Canada, and Finland. You will act as a business partner to senior leadership on corporate and legal matters, with direct contact and end-to-end ownership of key processes.
Key Responsibilities:
- Provide legal opinions on corporate matters and support all Wildlife entities across jurisdictions
- Structure and implement corporate governance rules for group entities
- Draft and coordinate board resolutions and meeting materials
- Manage annual corporate compliance obligations domestically and internationally
- Coordinate with external law firms across different jurisdictions
- Review, negotiate, and manage contracts (NDAs, vendor agreements, licensing, service provider, real estate, insurance, intercompany, and financial agreements)
- Administer the company's contract management system and related platforms
- Manage stock option plans including grants, exercises, repurchases, and equity-related legal advice
- Maintain cap table and shareholder register
- Support audits and KYC/AML compliance reviews
- Collaborate with Finance, Tax, Controllership, Facilities, Engineering, and Live Games teams
- Develop playbooks and automation initiatives
- Prepare and review managerial reports and documents

Requirements:
- Law degree and active Brazilian Bar (OAB) membership
- Solid experience in Corporate Law and contracts
- Prior experience with stock option plans
- Working proficiency in English to independently handle international documents and meetings
- Autonomous, organized profile comfortable managing multiple projects simultaneously
- Clear communication and team-building skills
- Business-oriented mindset with strong social skills
Preferred Qualifications:
- Experience with M&A transactions
- Experience with foreign entities and international jurisdictions
- Background at startups, tech companies, or law firms with venture capital practice
- LLM in Corporate Law
