Salary: USD 335,000 - 385,000 / annual
Anthropic is seeking an experienced transactional IP attorney to join its growing legal department. You will lead the intellectual property workstream on acquisitions and strategic investments, from initial diligence through letters of intent, definitive agreements, closing, and integration. You will work alongside M&A counsel, commercial legal teams, and Corporate Development to navigate IP issues that are often novel in the AI space.
Key responsibilities include:
- Leading IP due diligence and negotiating IP terms for acquisitions and strategic investments
- Partnering with commercial counsel on IP aspects of complex enterprise, partnership, research collaboration, and vendor agreements
- Serving as the primary point of contact on IP terms for commercial legal colleagues and helping train them to resolve IP questions independently
- Developing playbooks, templates, and processes that enable a lean team to handle IP terms across a high volume of deals
- Contributing to broader IP strategy, particularly where transactions intersect with open source, trade secrets, patents, or emerging business models
You will report directly to the Head of IP and work in a hybrid capacity, with expectations to be in one of Anthropic's offices at least 25% of the time.
Requirements:
- JD and active membership in at least one U.S. state bar
- Substantial experience leading IP due diligence and negotiating IP terms in technology M&A
- First-chair experience negotiating IP provisions in complex commercial technology agreements (licenses, joint development agreements, services agreements)
- Ability to communicate IP risks and tradeoffs clearly to business leaders and non-specialist lawyers, with sound judgment about negotiating positions
- Strong working knowledge of open source licensing, employee and contractor IP assignment obligations, and trade secret protection
Preferred qualifications:
- 10+ years of transactional IP experience at a nationally recognized law firm, technology company, or both
- Experience building negotiation playbooks, templates, or diligence processes that other lawyers relied on
- Experience with AI, machine learning, data licensing, or other emerging technology
- Curiosity about AI and commitment to its responsible development
