Lambda, a leader in AI cloud infrastructure serving tens of thousands of customers globally, is seeking an Infrastructure & Energy Transaction Counsel to serve as a primary deal architect for multi-billion-dollar-scale physical infrastructure investments. This role offers end-to-end ownership of legal structuring, drafting, and negotiation of complex transactions across Lambda's portfolio of leased data centers and self-developed facilities through land and power acquisitions.
Key responsibilities include leading commercial negotiation and documentation of development deals, complex site leasing, and real estate transactions; structuring and managing specialized contracts critical to hyperscale deployments, including corporate Power Purchase Agreements (PPAs), utility interconnection agreements, behind-the-meter generation frameworks, and storage systems; drafting, reviewing, and negotiating construction contracts, engineering services agreements, and design-build documents tailored for infrastructure handling gigawatts of power; partnering with corporate development, tax, and finance teams to support project finance elements, tax incentives, and complex lease arrangements enabling massive capital deployment; aligning legal risk frameworks with technical engineering, security, business development, and strategic financial models; and directing specialized outside counsel on complex regulatory or regional matters.
The ideal candidate brings 6+ years of legal experience running complex commercial transactions, ideally split between an elite AmLaw law firm and an innovative, fast-moving infrastructure or technology company. Deep infrastructure expertise with a proven track record of managing heavy workloads, prioritizing risk efficiently, and closing multi-million or billion-dollar transactions on accelerated schedules is essential. Strong technical and energy market literacy—including clear understanding of data centers, wholesale electricity markets (ERCOT, PJM), utility interconnections, and emerging AI hardware stacks—is required. Candidates must demonstrate a solution-oriented commercial mindset with sound judgment in high-stakes, ambiguous situations; elite communication abilities bridging technical engineering needs with legal protections; a JD from an accredited law school and active bar membership in at least one U.S. state; and the ability to thrive under pressure with high responsiveness, versatility, and absolute ownership.
