VAST Data, a foundational AI operating system provider powering enterprise AI infrastructure at scale, seeks a Global Head of Commercial Legal to design and lead the company's global technology transactions function. This is a strategic executive role responsible for architecting commercial legal frameworks that support multi-million and billion-dollar infrastructure deals across AMER, EMEA, and APAC regions.
Key responsibilities include serving as the chief legal architect for VAST's most complex, multi-year software and infrastructure commitments with foundational model builders, neocloud providers, sovereign AI funds, and Fortune 100 enterprises. You will design and implement global commercial contract templates, including master software agreements, product-specific AI terms, and vendor procurement frameworks. A core focus is establishing standardized fallback positions and risk-escalation matrices to enable rapid deal closure without compromising governance.
The role requires deep expertise in AI data governance and frontier risk management, including navigating novel legal questions at the intersection of parallel computing, massive data ingestion, and real-time processing. You will ensure commercial terms proactively align with evolving international compliance landscapes, including the EU AI Act, GDPR, CCPA, and cross-border data transfer regulations.
You will build and lead a geographically distributed team of commercial counsel and legal specialists across North America, Europe, and Asia-Pacific. This includes establishing AI-first legal operations, implementing contract lifecycle management infrastructure, and developing enablement programs for enterprise sales teams. Success is measured through KPIs including contract volumes, deal cycle times, and negotiation efficiency.
Required qualifications: 12+ years of legal experience combining top-tier law firm training with significant in-house leadership at a hyper-growth enterprise SaaS, deep tech, or AI infrastructure company. Experience leading commercial teams through rapid international scale or pre-IPO transitions is highly desirable. You must have exceptional expertise drafting and negotiating complex software licenses, technology partnerships, and cloud infrastructure agreements with sophisticated counterparties. Strong technical fluency in modern AI stacks, data storage architectures, GPU-accelerated environments, and enterprise data lifecycle management is essential. A first-principles mindset and ability to make pragmatic business decisions in ambiguous, evolving regulatory environments is critical.
