VAST Data, a provider of foundational AI operating systems powering enterprise GPU neoclouds and sovereign AI initiatives, seeks a Global Head of Commercial Legal to design, scale, and lead the global technology transactions function. This is a VP-level role reporting to senior leadership, responsible for transitioning commercial legal frameworks from a high-growth model into a world-class global enterprise architecture.
Key responsibilities include: (1) serving as the chief legal architect for multi-million and billion-dollar infrastructure transactions with foundational model builders, major neocloud providers, and Fortune 100 enterprises; (2) designing and implementing global commercial contract templates, including master software agreements, product-specific AI terms, and vendor procurement frameworks; (3) establishing standardized fallback positions and risk-escalation matrices to accelerate deal velocity across AMER, EMEA, and APAC; (4) navigating novel legal questions at the intersection of parallel computing, massive data ingestion, and real-time data processing; (5) ensuring commercial terms align with evolving international compliance landscapes, including the EU AI Act, GDPR, CCPA, and cross-border data transfer limitations; (6) recruiting, mentoring, and leading a geographically distributed team of commercial counsel and legal specialists; (7) building Legal Ops infrastructure with AI-powered contract lifecycle management, automated triage, and contract intelligence tools; (8) developing enablement programs for enterprise sales teams; and (9) establishing metrics-driven KPIs around contract volumes, cycle times, and negotiation efficiency.
Required qualifications: 12+ years of legal experience combining top-tier law firm training with significant in-house leadership at a hyper-growth enterprise SaaS, deep tech, or AI infrastructure company. Experience leading commercial teams through rapid international scale or pre-IPO transitions is highly desirable. Exceptional background drafting and negotiating complex software licenses, technology partnerships, and cloud infrastructure agreements with sophisticated counterparties. Strong understanding of modern AI stacks, data storage architectures, GPU-accelerated environments, and enterprise data lifecycle management. Outstanding ability to make rapid, pragmatic business decisions in ambiguous, evolving regulatory environments. JD from accredited law school and active bar membership required.
