Basis is seeking its first in-house Legal Counsel to build the legal foundation for the company's next growth phase. The company builds production-grade AI agents that perform end-to-end work for major accounting firms, recently raised $100M at >$1B valuation, and counts Khosla Ventures, Accel, Google Ventures, and prominent technical leaders among its investors.
You will own a broad range of commercial and corporate legal matters, working closely with leadership and cross-functional teams in Finance, Sales, People, and Operations. Key responsibilities include managing day-to-day contracting (reviewing, drafting, negotiating customer and vendor agreements), developing contract templates and playbooks, strengthening approval and escalation processes, and tracking ongoing obligations to enable rapid yet disciplined growth.
You will support corporate governance and board matters: cap table management, board and stockholder approvals, meeting preparation, equity administration, and fundraising support. You'll ensure corporate records, governance processes, and legal obligations remain accurate as the company scales, and advise on strategic partnerships and non-standard business arrangements.
In partnership with the People team, you'll handle employment agreements, workplace policies, employee relations, compensation and equity questions, and other HR-related legal matters.
This is a high-ownership role offering broad exposure, direct access to company leadership, and the opportunity to build a legal function from the ground up. You'll be expected to distinguish meaningful legal risks from issues that shouldn't slow the company down, operate independently on unfamiliar matters, and build scalable systems and processes.
Required: 2–5 years corporate or commercial law experience at a leading law firm; J.D. from a top law school; bar membership in good standing; experience with commercial agreements (SaaS, vendor contracts, NDAs, data-processing terms, partnerships); strong corporate law grounding (governance, capitalization, equity, board processes, financing); excellent judgment, writing, and attention to detail; hands-on approach and comfort building processes from scratch.
