Salary: USD 200,000 - 230,000 / annual
xAI is seeking an Energy & Infrastructure Counsel to provide legal support for large-scale physical infrastructure transactions and AI data center development projects. This role focuses on complex commercial agreements, strategic negotiations, and legal structuring for hyperscale infrastructure investments.
Key responsibilities include leading negotiations on development deals, real estate transactions, and capital equipment purchases. You will specialize in power-related contracts including interconnection agreements, electricity service agreements, solar project deployments, power purchase agreements (PPAs), gas supply/transport, water rights, and ERCOT regulatory matters critical to data center deployments. The role involves drafting and negotiating construction contracts, engineering services agreements, and project documents for facilities with advanced power, cooling, and infrastructure systems.
You will support financing structures, tax incentives, complex lease arrangements, permitting activities, easement and land use transactions, and project finance elements enabling multi-billion-dollar infrastructure investments. Close partnership with engineering, security, procurement, business development, and finance teams is essential to align legal terms with technical and commercial requirements. You will coordinate with specialized outside counsel while maintaining in-house strategic oversight and risk judgment.
The ideal candidate has 5+ years of legal experience, ideally combining work at innovative technology companies or top law firms. Deep expertise in commercial contracting for large-scale infrastructure projects is required. You must demonstrate proven ability to manage heavy workloads, prioritize effectively, and close transactions on aggressive timelines. Tech-savviness with understanding of data centers, power systems, and AI technologies is important. Strong ownership mentality, sound judgment in high-stakes situations, creative problem-solving, and JD with active bar membership are required. Full-time in-office presence (5 days/week) in Memphis is mandatory.
