Crusoe is seeking a Director of Legal Counsel to lead commercial contracting and strategic legal initiatives for an AI infrastructure company. You will draft, review, negotiate, and advise on customer-facing and strategic commercial transactions, including SaaS agreements, cloud services contracts, AI-enabled offerings, strategic partnerships, and data processing arrangements.
In this role, you will serve as a trusted senior legal advisor to cross-functional teams including Cloud Sales, Product, Digital Infrastructure, Customer Success, Security, Finance, and Procurement. Key responsibilities include leading customer and procurement negotiations from intake through signature, providing strategic business counsel on commercial and operational issues, developing scalable contracting processes and standard forms, and supporting pricing initiatives and commercial model optimization.
You will work at the intersection of law and business, identifying creative solutions to complex contracting challenges while managing a high volume of transactions. The role emphasizes process improvement, leveraging AI legal technology tools for efficiency, and balancing legal risk against commercial objectives.
Required qualifications include a J.D. from an accredited law school with active bar admission, 8+ years of in-house or law firm experience supporting technology transactions, and extensive expertise negotiating SaaS, software, cloud services, and enterprise commercial agreements. You must demonstrate strong technical fluency in cloud services, software licensing, information security, privacy, and intellectual property, with experience supporting AI-enabled products.
Desired traits include proven negotiation skills, business acumen, intelligence, flexibility, creativity, and strong organizational abilities. Experience with contract management software (Ironclad), AI legal technology tools, and Microsoft O365/Google Workspace is expected. Bonus qualifications include knowledge of data privacy laws in SaaS contexts, understanding of software development and open-source communities, and prior startup or high-growth venture experience.
